These Terms of Service (“Terms”) govern your access to and use of aligndrift.com and all related services provided by Bright Oak LLC, a California limited liability company operating as AlignDrift™ (“Company,” “we,” “our,” or “us”).
By accessing or using our website, Mastering Business Alignment™ framework, MBAAT™ platform, alignment assessments, reports, training materials, or related services (collectively, the “Services”), you agree to be bound by these Terms.
If you do not agree, you may not use the Services.
You must be at least 18 years old and legally capable of entering into binding agreements to use our Services.
If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for:
Internal organizational use
Leadership training
Alignment assessment participation
Access is limited to the licensed individual(s) or organization as defined in a separate written agreement.
Sharing login credentials, reports, proprietary materials, or access outside of the licensed group is strictly prohibited and may result in termination of access without refund.
The Services may include surveys, alignment assessments, diagnostic tools, and reports.
You acknowledge that:
Assessment results are informational and advisory in nature
Reports reflect data provided by participants
Organizational decisions remain the sole responsibility of the client
We do not guarantee specific business outcomes, financial results, performance improvements, or operational outcomes.
Where applicable:
Fees, scope of services, and access rights are defined in a separate written agreement, invoice, or service order between the Company and the client.
Access duration and user licensing will be specified in that agreement.
Payments are processed through secure third-party providers where applicable.
Unless otherwise stated in writing, fees are non-refundable.
We treat organizational survey responses and assessment data as confidential business information.
We will not publicly disclose identifiable client data without authorization.
We may use anonymized and aggregated data for research, benchmarking, or improvement of our Services.
Clients are responsible for ensuring they have proper internal authorization to submit organizational data.
All content and materials, including but not limited to:
Mastering Business Alignment™
MBAAT™
Alignment Score™ (also referred to as the Organizational Alignment Score or “OAS”)
Alignment Drift™
Corporate Alignment Policy™
Reports, frameworks, training materials, graphics, written content, and methodologies
are the exclusive intellectual property of Bright Oak LLC and are protected under applicable copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, reverse engineer, resell, or exploit any portion of the Services without prior written consent.
You agree not to:
Copy, modify, or distribute proprietary materials
Attempt unauthorized access to systems
Reverse engineer assessment methodologies
Use the Services for unlawful purposes
Misrepresent your identity or authority
Interfere with the operation or security of the platform
The Services are provided “as is” and “as available” without warranties of any kind, express or implied.
We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law:
Bright Oak LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from use of the Services.
Total liability shall not exceed the amount paid by the client for Services in the preceding twelve (12) months.
You agree to indemnify and hold harmless Bright Oak LLC from claims arising out of your misuse of the Services or violation of these Terms.
These Terms shall be governed by the laws of the State of California.
Any disputes shall be resolved in the courts of Los Angeles County, California.
We reserve the right to update these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.
